Partnership Agreement Terms & Conditions

This Agreement sets out the terms and conditions under which Strategy 365 Limited shall enter into a partnership with the Partner.

This Agreement is made between:

  1. Strategy 365 Limited, a company registered in England & Wales under company number 10480400 whose registered office is at The Old Chapel, Blakeley Lane, Dilhorne, Stoke-on-Trent, Staffordshire, ST10 2PS (“Strategy 365”); and
  2. The Partner

By agreement between the parties to this Agreement (“the Parties”):

  1. This Agreement shall be entered into by the Parties starting on the above commencement date.
  2. Strategy 365 will be the Partner’s preferred supplier for Microsoft Dynamics 365 Applications and the Power Platform to the Partner’s customers, for licences, consultancy and support should the Partner’s customers have need for such supplies (“introduced customer”).
  3. Strategy 365 will not knowingly attempt to sell anything else to the introduced customer that the Partner commercially offers.
  4. The Parties agree not to approach the other’s employees with any offer of employment.
  5. The Parties agree to act in a non-competitive manner at all times.
  6. The Parties should comply with the requirements of the Data Protection Act 2018.
  7. The Parties are responsible for maintaining relevant insurance policies.
  8. Subject to clause 9, commission payable to the Partner will be 10% of revenue on all introduced customers’ consultancy and support agreements. No commission will be paid for software licensing or for incurred expenses.
  9. Commission will only be payable to the Partner for work delivered during the first 12 months of the relationship with the introduced customer. The start date of the 12 months is based on the date of the first invoice raised to the introduced customer.
  10.  Commissions can be reviewed by either party on an individual-deal basis, where required, subject to agreement by both parties.
  11. Commissions are paid on ex-VAT values.
  12. Strategy 365 will endeavour to work to a £975 per day rate (excluding VAT) with customers introduced by the Partner. Day rates may be altered on occasion to suit market conditions.
  13. Rates do not include travel and expenses which, if required, will be agreed with the customer.
  14. Commission statements will be raised monthly, in line with the calendar year.
  15. For commission to be paid to the partner, an invoice must be submitted to Strategy 365 in-line with commission statements.
  16. Payment for commission will be paid no more than 30 days after receipt of invoice from the Partner following the commission statement.
  17. Payment for commission may be withheld until payment in full has been received from the introduced customer.
  18. Either Party may terminate this agreement by giving no less than 90 days’ written notice. All existing business introductions will remain in place, with the respective commission payments, until the end of the 12 months, or until the introduced customer ceases to work with the Parties (whichever is sooner), even if the agreement is terminated.
  19. The Parties shall behave loyally toward one another and shall not disparage one another.
  20. The Parties shall deal with one another with utmost faith.

By signing this Agreement, the Partner confirms:

  1. Its agreement to these Terms & Conditions
  2. Authorisation for the signatory below to enter into this Agreement on behalf of the Partner.
